Terms and Conditions of Use

The following Terms and Conditions (“Terms”, “T&Cs”, or “Terms of Use”) govern all use of the https://soulbends.com website platform (the “Platform”), including any use or viewing of any Content (defined below), services and products available at or through the Platform (collectively, “Services”), by Platform visitors and participants (collectively, “Users”), both unregistered and registered (“Registered Users”).

The Platform is owned and operated by SS Enterprise (hereinafter referred to as “Soulbends”, the “Company”, “We”, or “Us”). Our contact email is yogadaily@soulbends.com.

The Services are offered to each User subject to such User's acceptance of all of these Terms and Conditions and all other applicable terms, operating rules, and policies (including, without limitation, Soulbends’s Privacy Policy) that are communicated from time to time on or through the Platform by the Company.

A User should read the T&Cs carefully before Browse or accessing the Platform or any Content or using any Services. By Browse, accessing or using any part of the Platform, including the registration by a Registered User to open an account (a “User Account”), a User agrees to be bound by these Terms and Conditions. If a User disagrees with or cannot follow these Terms and Conditions (in part or in whole), then such User should not browse or access the Platform, use any Services, or register to create a User Account.

1. Platform General Description

(1.1) Welcome to Soulbends, a platform designed to provide online yoga and wellness services. Users of the Platform can:

(1.1.1) Access an online platform to join daily online yoga and wellness sessions with instructors.
(1.1.2) Access health tips, track their wellness journey, and view other related educational content.
(1.1.3) Have access to additional paid Services provided by the Platform (“Additional Services”), which may be purchased under separate agreements with the Company.

(1.2) Third-Party Links: Throughout the Platform, there may be links to third-party websites. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from a User's use of them. If a User decides to access any third-party website, it is done at the User's own risk.

2. Categories of Users

(2.1) Users: Any individual visiting or Browse the Platform.

(2.2) Registered Users: Users who register and create a User Account with the Platform to access our core services and content.

(2.3) Clients: Registered Users who purchase any of the Services or Additional Services offered by the Platform.

3. User Registration and Account

(3.1) To access the core Services, you must register and create a User Account. You agree to provide accurate, current, and complete information during the registration process.

(3.2) You are responsible for safeguarding your password and for all activities that occur under your User Account. You agree to notify Soulbends immediately of any unauthorized use of your account.

4. Service Delivery, Payments, and Refund Policy

(4.1) Service Delivery: Our primary service consists of live, online group sessions conducted by instructors.

(4.2) Instructors: Soulbends engages instructors on a contractual basis to lead the sessions. We reserve the right, at our sole discretion, to change instructors for any session or program without prior notice to the Users. We are committed to ensuring a high quality of instruction is maintained at all times.

(4.3) Fees and Payment: All applicable fees for Services will be displayed on the Platform at the time of purchase. By purchasing a Service, you agree to pay the specified fees.

(4.4) Refund Policy: We want you to be satisfied with our service. If you are not happy with the service provided, you are eligible for a refund.

(a) A request for a refund must be submitted within seven (7) days of your initial signup and payment date.
(b) To request a refund, you must contact us via email at yogadaily@soulbends.com with your purchase details and the reason for your request.
(c) Refunds will be processed to the original method of payment within a reasonable timeframe. After the 7-day period, no refunds will be issued.

5. Content on the Platform

(5.1) Soulbends Content: The Platform hosts its own content, including articles, videos, health tips, and descriptions of our services ("Company Content").

(5.2) Online Sessions: The live and recorded online yoga and wellness sessions are the property of Soulbends. Registered Users are granted a limited, non-exclusive license to access these sessions for their personal, non-commercial use as part of the Service.

6. Intellectual Property

(6.1) The Platform and all text, images, marks, logos, and other content contained herein, including the Soulbends logo and all designs, text, graphics, data, software, and other files ("Soulbends IP") are the proprietary property of SS Enterprise or its licensors and are protected by applicable intellectual property laws.

(6.2) The Soulbends logo and name may not be copied, imitated, or used, in whole or in part, without the prior written permission of the Company. All other trademarks, product names, and company names or logos mentioned on the Platform are the property of their respective owners.

(6.3) When you become a User, we grant you a personal, non-transferable, non-exclusive license to access the Content on the Platform for legitimate, private, non-commercial use under these Terms. You may not sublicense, sell, or otherwise exploit the Platform or any materials on it. This license is automatically terminated if your relationship with Soulbends is terminated.

7. Termination

(7.1) A Registered User may request to delete their User Account at any time by emailing us at yogadaily@soulbends.com. Upon termination, you will no longer be able to access the services provided to Registered Users.

(7.2) Soulbends may terminate a User’s access to all or any part of the Platform and/or their User Account at any time, with or without cause or prior notice.

(7.3) Soulbends reserves the right to suspend or delete any User Account for due cause, including but not limited to:

(a) Any violation of these Terms of Use or our Privacy Policy.
(b) Provision of false or inaccurate information.
(c) Any action that could harm the Platform, its reputation, or its operations.
(d) Requests by law enforcement or other government agencies.

8. Indemnification

You agree to indemnify and hold harmless Soulbends, its contractors, licensors, and their respective directors, officers, employees, and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the Platform, including but not limited to your violation of these Terms and Conditions.

9. Disclaimer of Warranties

The Platform and the Services are provided “as is”. Soulbends and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither Soulbends nor its suppliers and licensors, makes any warranty that the Platform will be error-free or that access thereto will be continuous or uninterrupted. You understand that you download from, or otherwise obtain content or services through, the Platform at your own discretion and risk.

10. Limitation of Liability

In no event will Soulbends, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute products or services; (iii) for interruption of use or loss or corruption of data. Soulbends shall have no liability for any failure or delay due to matters beyond their reasonable control.

11. Applicable Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. You agree that any legal action or proceeding arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Jalpaiguri, West Bengal.

12. Miscellaneous

(12.1) These Terms of Use and our Privacy Policy constitute the entire agreement between the User and Soulbends and supersede all prior agreements.

(12.2) If any part of these Terms is held invalid or unenforceable, the remaining portions will remain in full force and effect.

(12.3) Any failure by Soulbends to enforce any provision of these Terms will not be considered a waiver of our right to enforce such provision.

(12.4) You may not assign your rights under these Terms to any third party. Soulbends reserves the right to assign its rights to any other individual or entity at its discretion.

(12.5) Soulbends reserves the right, at its own discretion, to modify or replace any part of these Terms. It is the User’s responsibility to check these Terms periodically for changes. Your continued use of or access to the Platform following the posting of any changes constitutes acceptance of those changes.
